Terms of Service

1. Service Overview

Excuseme ("the Service") is a table ordering system for restaurants operated by GeekStyleJapan Inc. ("the Operator"). Customers order from their smartphones via QR code. The Service is available in two versions:

  • Shopify Edition: Installed via the Shopify App Store. Product management, authentication, and payment are handled through Shopify.
  • Standalone Edition: Independent signup at excuseme.jp. Product management and billing are handled within the Service. Optional online payment acceptance via Stripe Connect.

By installing, registering, or using the Service, you ("the User") agree to all terms outlined in this agreement. Provisions marked [Shopify] apply only to Shopify Edition users, and provisions marked [Standalone] apply only to Standalone Edition users.

2. Terms of Use

Common requirements

  • Must hold all necessary permits and licenses for food service operations
  • Must be at least 18 years of age or the legal age of majority in your jurisdiction
  • Must use the Service only for lawful restaurant operations

[Shopify Edition] additional requirements

  • Must have a valid Shopify store account
  • Must agree to Shopify's Terms of Service

[Standalone Edition] additional requirements

  • Must provide a valid email address for account registration
  • For paid plans: must provide valid credit card information via Stripe
  • When using Stripe Connect (online payment acceptance): must complete Stripe's identity verification (KYC) and comply with Stripe's terms

3. Account and Authentication

[Shopify Edition]

  • Authentication is performed via Shopify OAuth

[Standalone Edition]

  • Authentication is performed via email and password
  • The User is responsible for maintaining the confidentiality of their password

Common

  • Staff account management is the sole responsibility of the store owner
  • If credential leakage is discovered, change your password immediately and notify us
  • The Service is not responsible for any unauthorized access resulting from inadequate credential management by the User

4. Payment

[Shopify Edition] — Subscription

Subscription fees for the Shopify Edition are billed through Shopify Billing API. All subscription payments are governed by Shopify's terms. The Service does not process subscription payments directly for Shopify Edition users.

[Shopify Edition] — Customer Payment

Customer payments for restaurant orders are processed through Shopify POS / Shopify Checkout. The Service bears no responsibility for payment processing errors or financial transactions between the User and their customers.

[Standalone Edition] — Subscription

Subscription fees for the Standalone Edition are processed through Stripe (operated by Stripe, Inc. and its affiliates). By subscribing, the User agrees to Stripe's terms. The User authorizes the Operator and Stripe to charge the registered credit card automatically on each billing cycle.

[Standalone Edition] — Stripe Connect (Optional)

Standalone Edition users may optionally enable Stripe Connect to accept customer payments online. When enabled:

  • Customer payments are collected by Stripe and deposited directly into the User's own Stripe account (not the Operator's account). The Operator does not hold customer funds at any time.
  • A platform fee of 0.5% of each transaction amount is collected by the Operator as a service fee, automatically deducted via Stripe Application Fee.
  • Separate Stripe payment processing fees (typically 3.6%) apply and are deducted from the total before distribution.
  • The User is solely responsible for refunds, chargebacks, and customer disputes arising from their own transactions.
  • The Operator acts as a payment facilitator platform and is NOT a money transmitter under Japanese law. No refunds or chargebacks are issued by the Operator.

4-2. Cancellation & Refund (Standalone Edition)

Standalone Edition users are entitled to a 14-day free trial on all paid plans. During the trial, the subscription can be cancelled at any time with no charge. After the trial, the following cancellation terms apply:

  • Cancel anytime before the next billing date to stop future charges
  • No pro-rated refunds. Service remains available until the next billing date after cancellation
  • Refunds are provided only if the service was materially unavailable due to our fault

5. Prohibited Activities

  • Unauthorized use or reverse engineering of the Service
  • Excessive API calls that burden the server
  • Unauthorized access to other users' data
  • Sale of products that violate applicable laws
  • Use of the Service for purposes other than restaurant table ordering operations
  • Attempting to circumvent plan restrictions or feature limitations

6. Pricing Plans

[Shopify Edition]

Pricing plans for Shopify Edition are displayed within the Shopify App Store in USD and billed through Shopify Billing API.

[Standalone Edition]

Pricing plans for Standalone Edition are displayed on our pricing page in Japanese Yen (JPY) and billed through Stripe. Current plan structure includes:

  • Free Plan: Basic features with limits on tables and monthly orders
  • Lite Plan (¥4,980/mo): Small shops, up to 500 orders/month
  • Standard Plan (¥9,800/mo): Medium shops, up to 2,000 orders/month
  • Pro Plan (¥19,800/mo): Large shops and chains, up to 8,000 orders/month
  • Enterprise: Custom pricing (contact sales)

Usage beyond the included monthly orders incurs overage fees per the current pricing page. Additional locations (chain stores) and optional add-ons incur separate monthly charges. All prices are shown including consumption tax.

Common

Plan changes and cancellations are available at any time through the billing page. The Operator reserves the right to modify pricing, features, and plan structures at any time, with at least 30 days' advance notice for material changes. Continued use after such changes constitutes acceptance of the new terms.

7. Service Availability and Maintenance

The Service may be temporarily unavailable due to planned maintenance, system updates, or unforeseen technical issues. The Service does not guarantee uninterrupted or error-free operation and is not liable for any losses arising from service downtime, whether scheduled or unscheduled. The Service reserves the right to modify, suspend, or discontinue any part of the Service at any time without prior notice.

8. Data and Content

The User is solely responsible for all data entered into the Service, including but not limited to product information, pricing, staff accounts, and order configurations. The Service processes and stores data on behalf of the User but does not verify the accuracy, completeness, or legality of such data.

While the Service implements reasonable security measures, the Service does not guarantee the absolute security or integrity of stored data. Data loss, corruption, or unauthorized access may occur due to factors beyond the Service's reasonable control, including but not limited to hardware failures, software defects, network disruptions, cyberattacks, natural disasters, or actions by third-party service providers. The User acknowledges and agrees that the Service shall not be liable for any data loss, corruption, or breach, regardless of cause.

The User is strongly encouraged to maintain independent backups of all critical business data. The Service does not provide data recovery services.

9. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by applicable law, the Service expressly disclaims all warranties, including but not limited to:

  • Warranties of merchantability or fitness for a particular purpose
  • Warranties of uninterrupted, timely, secure, or error-free operation
  • Warranties regarding the accuracy or reliability of any results obtained through the Service
  • Warranties that the Service will meet the User's specific requirements or expectations
  • Warranties of compatibility with third-party services, including Shopify

10. Limitation of Liability

To the maximum extent permitted by applicable law, the Service and its operators, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to:

  • Loss of revenue, profits, business, or anticipated savings
  • Loss of data, data corruption, or costs of data recovery
  • Loss of goodwill or reputation
  • Business interruption or operational delays
  • Incorrect orders, order processing errors, or missed orders
  • Customer complaints, disputes, or claims arising from the use of the Service
  • Loss or damage resulting from unauthorized access to or alteration of data
  • Any other damages arising out of or in connection with the use or inability to use the Service

These limitations apply regardless of the legal theory upon which the claim is based (whether contract, tort, negligence, strict liability, or otherwise), even if the Service has been advised of the possibility of such damages. In no event shall the total aggregate liability of the Service exceed the amount paid by the User for the Service during the three (3) months immediately preceding the event giving rise to the claim.

11. Indemnification

The User agrees to indemnify, defend, and hold harmless the Service, its operators, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • The User's use or misuse of the Service
  • The User's violation of these Terms
  • The User's violation of any applicable law or regulation
  • Any claims by third parties (including customers) arising from the User's restaurant operations
  • Food safety incidents, health code violations, or any regulatory issues at the User's establishment

12. Third-Party Services

The Service integrates with and relies upon third-party services, including but not limited to:

  • Shopify (for Shopify Edition: OAuth, API, POS, Billing)
  • Stripe (for Standalone Edition: subscription billing and Stripe Connect customer payments)
  • Hosting and infrastructure providers
  • Optional integrations (available only with user consent): LINE Notify, Google Business Profile, GearSystem AI gateway

The Service is not responsible for the availability, accuracy, or performance of any third-party service. Changes, outages, or discontinuation of third-party services may impact the functionality of the Service, and the Service shall not be liable for any such impact. Users are subject to the respective terms of service and privacy policies of each third-party service they use through the Service.

13. Intellectual Property

All intellectual property rights in the Service, including but not limited to software, designs, trademarks, and documentation, are owned by the Service operator. The User is granted a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. No rights are transferred to the User beyond what is expressly stated herein.

14. Termination

The Service reserves the right to suspend or terminate the User's access at any time, with or without cause, and with or without notice. Upon termination, the User's right to use the Service ceases immediately. Sections relating to disclaimers, limitation of liability, indemnification, and governing law shall survive termination.

15. Changes to Terms

These Terms may be modified at any time without prior notice. Continued use of the Service after any modifications constitutes acceptance of the revised Terms. For significant changes, we will make reasonable efforts to notify Users through the app or email, but failure to provide such notification shall not affect the enforceability of the revised Terms.

16. Force Majeure

The Service shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, epidemics, war, terrorism, riots, government actions, power failures, internet or telecommunications failures, cyberattacks, or failures of third-party service providers.

17. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.

18. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

19. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between the User and the Service regarding the use of the Service, and supersede all prior agreements, understandings, negotiations, and discussions, whether written or oral.
