Excuseme ("the Service") is a Shopify-integrated table ordering system for restaurants. Customers order from their smartphones via QR code, and payment is processed through Shopify POS. By installing and using the Service, you ("the User") agree to all terms outlined in this agreement.
The Service does not provide payment processing functionality. All payments are processed through Shopify POS / Shopify Checkout. Payment-related issues are governed by Shopify's terms. The Service bears no responsibility for payment processing errors, refund disputes, or any financial transactions between the User and their customers.
Pricing plans are displayed within the Shopify App Store and billed through Shopify's billing system.
Plan changes and cancellations are available at any time. The Service reserves the right to modify pricing, features, and plan structures at any time. Continued use after such changes constitutes acceptance of the new terms.
The Service may be temporarily unavailable due to planned maintenance, system updates, or unforeseen technical issues. The Service does not guarantee uninterrupted or error-free operation and is not liable for any losses arising from service downtime, whether scheduled or unscheduled. The Service reserves the right to modify, suspend, or discontinue any part of the Service at any time without prior notice.
The User is solely responsible for all data entered into the Service, including but not limited to product information, pricing, staff accounts, and order configurations. The Service processes and stores data on behalf of the User but does not verify the accuracy, completeness, or legality of such data.
While the Service implements reasonable security measures, the Service does not guarantee the absolute security or integrity of stored data. Data loss, corruption, or unauthorized access may occur due to factors beyond the Service's reasonable control, including but not limited to hardware failures, software defects, network disruptions, cyberattacks, natural disasters, or actions by third-party service providers. The User acknowledges and agrees that the Service shall not be liable for any data loss, corruption, or breach, regardless of cause.
The User is strongly encouraged to maintain independent backups of all critical business data. The Service does not provide data recovery services.
The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by applicable law, the Service expressly disclaims all warranties, including but not limited to:
To the maximum extent permitted by applicable law, the Service and its operators, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to:
These limitations apply regardless of the legal theory upon which the claim is based (whether contract, tort, negligence, strict liability, or otherwise), even if the Service has been advised of the possibility of such damages. In no event shall the total aggregate liability of the Service exceed the amount paid by the User for the Service during the three (3) months immediately preceding the event giving rise to the claim.
The User agrees to indemnify, defend, and hold harmless the Service, its operators, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
The Service integrates with and relies upon third-party services, including but not limited to Shopify, Shopify POS, and various hosting and infrastructure providers. The Service is not responsible for the availability, accuracy, or performance of any third-party service. Changes, outages, or discontinuation of third-party services may impact the functionality of the Service, and the Service shall not be liable for any such impact.
All intellectual property rights in the Service, including but not limited to software, designs, trademarks, and documentation, are owned by the Service operator. The User is granted a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. No rights are transferred to the User beyond what is expressly stated herein.
The Service reserves the right to suspend or terminate the User's access at any time, with or without cause, and with or without notice. Upon termination, the User's right to use the Service ceases immediately. Sections relating to disclaimers, limitation of liability, indemnification, and governing law shall survive termination.
These Terms may be modified at any time without prior notice. Continued use of the Service after any modifications constitutes acceptance of the revised Terms. For significant changes, we will make reasonable efforts to notify Users through the app or email, but failure to provide such notification shall not affect the enforceability of the revised Terms.
The Service shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, epidemics, war, terrorism, riots, government actions, power failures, internet or telecommunications failures, cyberattacks, or failures of third-party service providers.
These Terms shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
These Terms, together with the Privacy Policy, constitute the entire agreement between the User and the Service regarding the use of the Service, and supersede all prior agreements, understandings, negotiations, and discussions, whether written or oral.
